Brokerage

Commercial brokerage

On your brief, we find a suitable counterparty for a specific commercial contract, whether supplier, buyer, distributor or partner, make the introduction and support the negotiation; the two parties then conclude the contract themselves.

Under Omani commercial law, brokerage is a contract in which the broker undertakes to find a second party for a specific contract, in return for a fee. That is what we mean by commercial brokerage. Our role is that of an intermediary: we find a suitable counterparty, and the contract is concluded between the two parties themselves. So our work begins with your contract: what you intend to conclude, and with what kind of party.

A contract in view, and its other party still to be found

Commercial brokerage fits when you are looking for:

  • a supplier or manufacturer for a product you need or for a defined project;
  • a buyer or distributor in the Sultanate of Oman for what you produce or import;
  • a new supplier or a new outlet for a growing small or medium enterprise;
  • a commercial partner for one defined contract, such as a supply or distribution contract;
  • an Omani counterparty for a company from abroad with a particular transaction in mind.

In every case the search serves one named contract and follows your written brief, which also records what you wish to keep confidential.

A short list, reviewed before any introduction

What reaches you is a short list, not a directory. We search the market, and no name reaches you before we have reviewed it: each candidate comes with a brief commercial and economic review of its business, its place in its market and how far it meets your terms. Legal and audit reviews remain with the licensed firms you appoint.

You choose whom to meet. We make the introduction and support the commercial negotiation, on matters such as price, quantities, delivery and duration. When the terms are agreed, we set them out in a summary for your lawyers, who prepare the contract for the two parties to sign.

Before the search, and after the contract

Not every matter is ready for a search. Where the choice of market or of the kind of counterparty is still open, a market study under our consulting service can come before the brief. Where the contract leads to a procedure in Oman, such as a licence or a registration, its path is set out under Investor and business enablement.

A written proposal before the search begins

An engagement begins with a first meeting, without obligation, at our office or remotely, under a non-disclosure agreement if you ask for one. A written proposal follows: the scope, what you will receive and the name of the person responsible for your file. No search begins until you have approved it. Our fees are agreed in writing before work begins.

A clear role at every step

  • What we do

    • A written brief: what you seek, on what terms, and what must stay confidential
    • A search for possible counterparties, with a commercial and economic review of each
    • Introduction of the parties and support in the commercial negotiation
    • A summary of the agreed commercial terms, handed to your lawyers for the contract
  • What licensed providers do

    • Drafting and legal review of the contract: a licensed law office of your choosing
    • Customs clearance: a licensed clearance office
    • Anything involving property, insurance or bank finance: the providers licensed for each
  • What we do not do

    • We are not a party to the contract: the two parties sign it themselves
    • We do not act as the standing agent or representative of a foreign company: each introduction serves one contract
    • We do not receive or hold the parties' funds
    • We do not broker property, insurance or securities: each has its own licensed providers

The steps, in order

  1. A first meeting, a non-disclosure agreement if you ask for one, then a written proposal before any work

  2. Your brief in writing, then the search and a commercial and economic review of each candidate

  3. A short list from which you choose whom to meet, then the introduction and support in the negotiation

  4. A summary of the agreed terms; the two parties then conclude the contract directly, each with its own lawyers

What you receive

  • The brief in writing
  • A short list of counterparties, with a brief commercial and economic review of each
  • The introduction to the party you choose
  • A summary of the agreed commercial terms, for your lawyers

Integrated Consultancy provides its services within the activities entered in its commercial registration; it does not deal in securities, receive or manage client funds, or carry out real-estate brokerage, insurance brokerage, customs clearance or legal work, and any step that requires a licensed provider is carried out by that provider.

Begin with the matter in hand

Tell us about it in a first meeting. We listen, ask what needs asking and tell you plainly whether we can help, and how. The meeting is free and without obligation, under a non-disclosure agreement if you ask for one.
